1.1. "Zalo": Là một ứng dụng nhắn tin, gọi điện miễn phí được phát triển và vận hành bởi Công ty Cổ Phần VNG.;
1.2. "VNG": Là Công Ty Cổ Phần VNG;
1.3. "Sticker": Bao gồm nhưng không giới hạn các hình ảnh, thiết kế độ họa, văn bản dạng tĩnh hoặc động, minh họa các nhân vật, biểu cảm cảm xúc;
1.4. "Zalo Sticker": Là nền tảng mở được cung cấp bởi VNG, là nơi công bố các bộ Sticker nhằm sử dụng trong ứng dụng Zalo;
1.5. "Uploader": Là tác giả thiết kế/chủ sở hữu/bên có quyền khai thác, công bố, truyền đạt Sticker;
1.6. "Người sử dụng": Là Bên truy cập nền tảng Zalo Sticker và có khả năng thực hiện các hành động đăng tải, xem, tải xuống, sử dụng các Sticker trên Zalo.
2.1. Uploader và Người sử dụng mặc định phải đồng ý và tuân theo các điều khoản được quy định tại Thỏa Thuận này và quy định, quy chế liên kết, tích hợp (nếu có) bao gồm nhưng không giới hạn tại https://zaloapp.com/zalo/dieukhoan/;
2.2. Bằng cách đăng tải, công bố Sticker lên nền tảng Zalo Sticker, Uploader xác nhận rằng hành vi của bạn là hợp pháp và bạn chịu trách nhiệm về toàn bộ các khiếu nại, khiếu kiện liên quan tới việc lưu hành Sticker trên Zalo. VNG và (hoặc) bất kỳ ai liên quan đến quá trình phát triển và vận hành ứng dụng Zalo không sở hữu bất kỳ quyền sở hữu hoặc trách nhiệm nào liên quan đến việc công bố, truyền đạt Sticker;
2.3. Uploader, Người sử dụng có thể sẽ chịu trách nhiệm trước pháp luật nếu có hành vi vi phạm Pháp luật Sở Hữu Trí Tuệ trong quá trình sử dụng Zalo Sticker;
2.4. Uploader và (hoặc) Người sử dụng đồng ý bảo vệ, bồi hoàn và loại trừ VNG khỏi mọi nghĩa vụ pháp lý, tố tụng, tổn thất, chi phí bao gồm nhưng không giới hạn án phí, chi phí luật sư, chuyên gia tư vấn có liên quan đến việc giải quyết hoặc phát sinh từ sự vi phạm của Uploader và (hoặc) Người sử dụng trong quá trình sử dụng Zalo Sticker;
2.5. Người sử dụng đảm bảo VNG không bị thiệt hại vì bất cứ khiếu nại, khiếu kiện, phản ánh tiêu cực liên quan tới việc công bố, truyền đạt Sticker;
2.6. Uploader đồng ý để VNG tự do sử dụng, phát tán, trình chiếu, chỉnh sửa, biên soạn bất kỳ ý tưởng, khái niệm, cách thức, đề xuất, gợi ý, bình luận hoặc hình thức khác mà bạn cung cấp, trao đổi, chia sẻ thông qua việc sử dụng Zalo Sticker;
2.7. Uploader đồng ý từ bỏ bất kỳ quyền và yêu cầu với bất kỳ khoản tiền thưởng, phí, nhuận bút, lệ phí hoặc các chi trả khác liên quan đến việc VNG sử dụng, phát tán, trình chiếu, chỉnh sửa, biên soạn bất kỳ hoặc tất cả những nội dung mà bạn cung cấp, chia sẻ, trao đổi;
2.8. Trong mọi trường hợp, VNG được quyền xử lý các nội dung đăng tải cho phù hợp với thuần phong mỹ tục, các quy tắc đạo đức và các quy tắc đảm bảo an ninh quốc gia, và VNG có toàn quyền cho phép hoặc không cho phép các nội dung xuất hiện hay tồn tại trên Zalo Sticker.
3.1. Nội dung mang yếu tố chống phá Nhà nước; tuyên truyền các nội dung xuyên tạc, hư cấu nhằm chia rẽ các dân tộc, tôn giáo; có những hành vi mâu thuẫn, hiểu nhầm, gây mất đoàn kết;
3.2. Nội dung quảng cáo, tuyên truyền, mua bán hàng hoá, dịch vụ bị cấm theo quy định của Pháp Luật;
3.3. Nội dung dâm ô, bạo lực, mê tín dị đoan;
3.4. Nội dung vi phạm thuần phong mỹ tục, gây phản cảm cho người đọc;
3.5. Nội dung sai sự thật, gây hoang mang dư luận;
3.6. Tiết lộ các thông tin mang tính bí mật của nhà nước, quân sự;
3.7. Nội dung xúc phạm nhân phẩm, uy tín, danh dự của cá nhân, tổ chức;
3.8. Nội dung vi phạm Pháp luật Sở Hữu Trí Tuệ.

5.1. Các điều khoản quy định tại Thỏa Thuận này được quy định trên website có thể được cập nhật, chỉnh sửa bất cứ lúc nào mà không cần phải thông báo trước;
5.2. Mọi tranh chấp, khiếu nại liên quan tới Thỏa Thuận này sẽ được giải quyết tại Tòa án nhân dân có thẩm quyền tại TP. Hồ Chí Minh, Việt Nam.

1.1. "Zalo": means a texting and calling application free of charge, developed and operated by VNG Corporation;
1.2. "VNG": means VNG Corporation;
1.3. "Sticker": Including but not limited to images, graphic designs, static or dynamic text, for illustrations of characters, and emotional expressions;
1.4. "Zalo Sticker": means an open platform provided by VNG, where publishing the Sticker sets for use in Zalo application;
1.5. "Uploader": means the designer/owner/party who is entitled to exploit, disclose and communicate the Sticker;
1.6. "User": means the Party as accessing the Zalo Sticker platform and capable of posting, viewing, downloading and using the Sticker on Zalo.
2.1. Uploader and Default-User shall agree and comply with the provisions set forth in this Agreement and the regulations, association rules, integration (if any) including but not limited to https://zaloapp.com/zalo/dieukhoan/;
2.2. By posting and publishing Sticker on the Zalo Sticker Platform, Uploader hereby confirms that your behavior is legal and you shall be responsible for all legal complaints and legal proceedings related to the circulation of Sticker on Zalo. VNG and (or) anyone involved during the process of development and operation of Zalo applications does not own any ownership or responsibility related to the announcement or communication of Sticker;
2.3. Uploader, User may be responsible to the law for any violation of Law on Intellectual Property during the process of use of Zalo Sticker;
2.4. Uploader and (or) User hereby agrees to protect, reimburse and exclude VNG from all legal obligations, legal proceedings, losses, expenses including but not limited to legal cost, attorney fees, expert fees related to the settlement or arising from the violation by Uploader and (or) User during the process of use of Zalo Sticker;
2.5. User guarantees that VNG shall not be damaged due to the complaints, legal proceedings or negative feedbacks related to the announcement and communication of Sticker;
2.6. Uploader hereby agrees to leave VNG free to use, distribute, display, edit, compile any ideas, concepts, manners, recommendations, suggestions, comments or other modes that you provide, exchange, share via the use of Zalo Sticker;
2.7. Uploader hereby agrees to waive any rights and claims for any bonuses, charges, royalties, fees or other payments in connection with the usage, dissemination, projection, editing, compilation of any or all of the contents provided, shared, exchanged by you;
2.8. In any case, VNG has the right to handle the posted contents so as to be appropriate to the fine customs, ethical rules and national security rules, and VNG hereby reserves the right to allow or disallow such contents to appear or exist on Zalo Sticker.
3.1. Elements against the State; propagating distorted and fictitious contents to drive a wedge between the peoples and religions; having acts of conflict, misunderstanding causing disunity;
3.2. Advertising, propaganda, trade in prohibited goods and services as required by Law;
3.3. In the nature of lustfulness, violence, superstition;
3.4. Outrage against national traditions and fine customs causing objection to readers;
3.5. Distorting the truth, causing confusion in the public;
3.6. Disclosure of confidential information of State and military;
3.7. Offending the human dignity, reputation and honor of individuals or organizations;
3.8. Infringing upon Intellectual Property Law.

5.1. The provisions of this Agreement set forth on website may be updated and modified from time to time without any notice;
5.2. Any disputes or complaints related to this Agreement shall be settled at the competent People’s Court in Ho Chi Minh City, Vietnam.
